1. Acceptance of Terms

By accessing or using any product, service, platform, or website provided by Kynex Technologies India Private Limited ("Kynex", "we", "us", or "our"), you ("Customer", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all customers, users, resellers, and partners of Kynex Technologies India, including those who access our services through third-party integrations or reseller programs.

2. Description of Services

Kynex Technologies India provides the following categories of software and services:

• ISP CRM & AAA Radius: Subscriber management, authentication, and billing platform for Internet Service Providers.
• Virtual BNG: Software-defined Broadband Network Gateway for session termination and QoS management.
• Network Management System (NMS): FCAPS-based network monitoring and management platform.
• Managed Network Services: 24×7 NOC monitoring and management services.
• Payment Gateway: PCI-DSS compliant online payment processing services.
• Bharat BillPay System (BBPS): NPCI-certified bill collection services.
• WhatsApp ChatBot: Automated customer engagement via WhatsApp Business API.
• OTT & IPTV: Content delivery and streaming platform services.
• MPLS, WiFi Hotspot, CCTV Intranet: Network infrastructure and surveillance solutions.

Kynex reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice to customers.

3. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information and keep it updated.
• Notify Kynex immediately of any unauthorized use of your account.
• Use our services only for lawful purposes and in compliance with applicable Indian laws and regulations, including the IT Act 2000, Telecom Regulatory Authority of India (TRAI) guidelines, and Department of Telecommunications (DoT) regulations.
• Not attempt to reverse-engineer, decompile, disassemble, or otherwise derive source code from Kynex software.
• Not resell, sublicense, or transfer your rights to our services without express written consent.

4. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis as per the selected plan. All prices are exclusive of applicable GST and other taxes unless stated otherwise.

• Due Dates: Invoices are due within 15 days of the invoice date unless otherwise agreed in writing.
• Late Payments: Kynex reserves the right to suspend service for accounts with overdue payments exceeding 30 days.
• Price Changes: Kynex will provide 30 days' written notice before implementing any price changes.
• Disputed Invoices: Customers must raise invoice disputes within 10 business days of receipt.

5. Intellectual Property

All intellectual property rights in Kynex software, platforms, documentation, trademarks, and related materials are owned by Kynex Technologies India Private Limited. Your subscription grants you a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.

Customer data remains the property of the customer. Kynex processes customer data solely to provide the contracted services and as described in our Privacy Policy.

6. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the business relationship. This obligation survives termination of the service agreement for a period of three (3) years.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Kynex's total liability for any claims arising out of or related to these Terms or the services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Kynex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, even if advised of the possibility of such damages.

8. Termination

Either party may terminate the service agreement with 30 days' written notice. Kynex may terminate immediately upon material breach of these Terms, including non-payment, misuse, or violation of applicable laws.

Upon termination, you must cease all use of Kynex services. Customer data will be made available for export for 30 days post-termination, after which it will be securely deleted.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Parties agree to attempt good-faith resolution of disputes before initiating formal proceedings. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

10. Changes to Terms

Kynex reserves the right to update these Terms at any time. We will notify customers of material changes via email or platform notification at least 30 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
